TERMS OF USE - COREDIAGRAM

This End-User License Agreement (EULA) is a legal agreement between you (either an individual or a single entity) and Joylord Systems Ltd. ("Company") for the CoreDiagram software product ("Software").

Please read the following terms and conditions carefully before using this Software. Your use, distribution or installation of this copy of the Software indicates your acceptance of this License.

  1. SOFTWARE LICENSE: The Software is protected by intellectual property laws and treaties. The Software is licensed, not sold. This Agreement only gives you some rights to use the Software. Company reserves all other rights. Unless applicable law gives you more rights despite this limitation, you may use the Software only as expressly permitted in this Agreement.

  2. SCOPE OF LICENSE: This license granted to you for the Software by Company, covers the use of the Software on a single hardware product. If you want to use the Software on more than one hardware product, you must license another copy of the Software.

  3. LIMITATIONS ON USE: You may not rent, lease, lend, sell, redistribute, reproduce or sublicense the Software. You may not copy, decompile, reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Software, any updates, or any part thereof (except as and only to the extent that any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of any open-sourced components included with the Software).

  4. UPDATES: Company may from time to time in its sole discretion develop and provide Software updates, which may include upgrades, bug fixes, patches, other error corrections, and/or new features (collectively, including related documentation, "Updates"). Updates may also modify or delete in their entirety certain features and functionality.

  5. NO WARRANTY: The Software is provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Company, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Software, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice.

  6. LIMITATION OF LIABILITY: In no event shall Company be liable for any incidental, indirect, special, punitive, consequential or similar damages or liabilities whatsoever (including, without limitation, damages for loss of data, information, revenue, profits or other business or financial benefit) arising out of or in connection with the Software, any performance under or breach of this Agreement, whether such liability arises from any claim based upon contract, warranty, tort (including negligence), strict liability or otherwise, and whether or not Company has been advised of the possibility of such loss or damage.

  7. TERMINATION: The license is effective until terminated by you or the Company. Your rights under this license will terminate automatically without notice from the Company if you fail to comply with any term(s) of this license. Upon termination of the license, you shall cease all use of the Software and destroy all copies, full or partial, of the Software.

This agreement constitutes the entire agreement between you and Joylord Systems Ltd. and supersedes any prior agreement concerning the Software. If you have any questions concerning this EULA, you may contact us at support@joylordsystems.com.

BY INSTALLING THE SOFTWARE, YOU ARE ACKNOWLEDGING THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
